Sample corporate guarantee agreement for use as a financial assurance mechanism in a CERCLA settlement agreement. In general, through these guarantees, entities affiliated with potentially responsible parties (PRPs) guarantee the payment or performance of the PRPs’ cleanup obligations under settlement agreements if such PRPs are unable to do so. Guarantees are predicated on the guarantors’ ability to satisfy financial criteria and reporting requirements specified in settlements.
